What Schedule K-1 does
Schedule K-1 reports your individual share of a pass-through entity’s income, deductions, credits, and other tax items. Unlike most tax forms, you don’t fill this one out yourself; the entity (a partnership, S-Corp, or trust) prepares it and sends you a copy to use when filing your own personal return.
Why you received one
You’ll get a K-1 if you’re a partner in a partnership, a shareholder in an S-Corporation, or a beneficiary of certain trusts or estates. It’s the mechanism that makes “pass-through taxation” actually work; the business itself doesn’t pay federal income tax, so its income gets passed through and taxed on your personal return instead.
There isn’t just one K-1
Three different versions exist, depending on where it’s coming from:
- Form 1065 K-1 — from a partnership or multi-member LLC
- Form 1120-S K-1 — from an S-Corporation
- Form 1041 K-1 — from a trust or estate
They report similar categories of information but come from different source returns.
Why K-1s often arrive “late”
K-1s can’t be finalized until the issuing entity’s own return is complete; which is exactly why partnership and S-Corp returns (Forms 1065 and 1120-S) are due earlier than personal returns. If a K-1 is delayed, it’s often the reason someone needs to file a personal extension (Form 4868) while they wait.
What to do with it
The numbers on your K-1 get reported on specific schedules of your personal Form 1040; they’re not just an FYI document, they directly affect your tax liability, and errors or omissions can trigger IRS notices.
